Welcome to LINC Pro. These Terms of Service ("Terms") constitute a legally binding agreement between you and CareerLinc Inc ("CareerLinc Inc," "Company," "we," "us," or "our") governing your access to and use of the LINC Pro platform, including our website at lincpro.app, mobile applications (if any), and all related services, features, content, and applications (collectively, the "Services").

PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE SERVICES. BY ACCESSING OR USING THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE THE SERVICES.

1. Acceptance of Terms

By creating an account, accessing, or using the Services, you represent and warrant that:

  • You are at least 14 years of age;
  • If you are under 18, you have obtained consent from a parent, guardian, or authorized educational institution;
  • You have the legal capacity to enter into these Terms;
  • Your use of the Services does not violate any applicable law or regulation;
  • All information you provide to us is accurate, current, and complete.

If you are accepting these Terms on behalf of an organization (such as a school, vocational rehabilitation agency, or workforce development program), you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and that organization.

2. Description of Services

LINC Pro is an assessment-informed AI career coaching platform that provides:

  • Career Assessments: Including the O*NET Interest Profiler, Skills Inventory Builder, and other validated career development instruments;
  • AI Career Coaching: Personalized guidance through our AI assistant "Linc," which provides career exploration support informed by your assessment results;
  • Career Exploration Tools: Access to career information, labor market data, and occupation profiles integrated from O*NET, Bureau of Labor Statistics, and other sources;
  • Progress Tracking: Dashboard and profile features to track your career development journey;
  • Advisor Features: For authorized counselors, educators, and career specialists to support their clients' career development.

3. Platform Purpose and Data Scope

3.1 Career Development Platform

LINC Pro is a career development and workforce readiness platform. It is designed exclusively for vocational, educational, and career development purposes. LINC Pro is not a healthcare application, electronic health record system, or health information exchange, and is not designed to create, receive, maintain, or transmit Protected Health Information ("PHI") as defined under the Health Insurance Portability and Accountability Act ("HIPAA").

3.2 Prohibited Health Information

YOU AGREE THAT YOU WILL NOT ENTER, UPLOAD, OR OTHERWISE SUBMIT ANY OF THE FOLLOWING INTO THE SERVICES:

  • Medical diagnoses, health conditions, or disability diagnoses;
  • Treatment plans, medication information, or clinical notes;
  • Mental health records or psychological evaluations;
  • Any other information that constitutes Protected Health Information under HIPAA.

If you are an organization using the Services in connection with vocational rehabilitation, special education, or similar programs, you are responsible for ensuring that your staff and users do not enter PHI into the platform. Data entered into the Services is classified as vocational and career development data, not health data.

3.3 Data Classification

The following types of data are appropriate for the Services:

  • Career Assessment Data: Vocational interest profiles, personality traits, skills inventories, work preferences, and career exploration results;
  • Educational Records: School enrollment, program participation, academic interests, and educational goals;
  • Employment Data: Job search activities, work-based learning experiences, employment history, and career goals;
  • Contact Information: Name, email address, and organizational affiliation.

4. User Accounts

4.1 Account Registration

To access most features of the Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary to keep it accurate, current, and complete.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Create a strong, unique password;
  • Not share your login credentials with others;
  • Notify us immediately of any unauthorized access to or use of your account;
  • Log out of your account at the end of each session when using shared devices.

We are not liable for any loss or damage arising from your failure to comply with these security requirements.

4.3 Account Types

The Services may include different account types with varying access levels, including individual user accounts, advisor/counselor accounts, and organizational administrator accounts. Your access to specific features depends on your account type and subscription plan.

5. Acceptable Use Policy

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree NOT to:

5.1 General Prohibitions

  • Use the Services in any way that violates any applicable federal, state, local, or international law or regulation;
  • Impersonate or attempt to impersonate CareerLinc Inc, a CareerLinc Inc employee, another user, or any other person or entity;
  • Use any robot, spider, or other automatic device, process, or means to access the Services for any purpose;
  • Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful;
  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services, the server on which the Services are stored, or any server, computer, or database connected to the Services;
  • Use the Services in any manner that could disable, overburden, damage, or impair the Services;
  • Use any manual process to monitor or copy any of the material on the Services, or for any other purpose not expressly authorized in these Terms;
  • Share your account credentials or allow others to access your account;
  • Create multiple accounts to circumvent restrictions or for fraudulent purposes;
  • Use the Services to harass, abuse, or harm another person or entity;
  • Submit false or misleading information.

5.2 Prohibited Data Collection and Scraping

YOU EXPRESSLY AGREE THAT YOU WILL NOT:

  • Use automated systems, including but not limited to "robots," "spiders," "scrapers," or other automated means to access the Services for any purpose;
  • Collect, harvest, or scrape any content, data, or information from the Services, whether for personal use, commercial purposes, or to build or train artificial intelligence or machine learning models;
  • Extract, download, or otherwise copy assessment content, career data, user information, or any other data from the Services;
  • Use data from the Services to create, train, test, or improve any AI, machine learning, or similar technology, whether directly or through third parties;
  • Compile, aggregate, or create derivative works from any content obtained from the Services;
  • Access the Services through any technology or means other than those provided or authorized by us;
  • Circumvent, disable, or otherwise interfere with any security-related or access-control features of the Services.

6. Intellectual Property Rights

6.1 Our Intellectual Property

The Services and their entire contents, features, and functionality (including but not limited to all information, software, code, text, displays, images, video, audio, design, selection, and arrangement) are owned by CareerLinc Inc, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

6.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for your personal, non-commercial career development purposes (or for legitimate business purposes if you are an authorized organizational user).

6.3 Restrictions

You may NOT:

  • Reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services, except as explicitly permitted;
  • Use any illustrations, photographs, video or audio sequences, or any graphics separately from the accompanying text;
  • Delete or alter any copyright, trademark, or other proprietary rights notices;
  • Access or use any portion of the Services to build or enhance a similar or competitive product or service;
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Services;
  • Use the Services or any content for AI training, machine learning, or any automated data processing without explicit written consent.

6.4 Third-Party Content

The Services incorporate career information from third-party sources, including O*NET (sponsored by the U.S. Department of Labor), the Bureau of Labor Statistics, and other sources. Such content is used under applicable licenses and terms. Your use of such content is subject to the terms and restrictions applicable to those sources.

6.5 Trademarks

"LINC Pro," "CareerLinc Inc," and all related names, logos, product and service names, designs, and slogans are trademarks of CareerLinc Inc or its affiliates or licensors. You must not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on the Services are the trademarks of their respective owners.

7. User Content and Data

7.1 Your Content

You retain ownership of any content you submit, post, or display on or through the Services ("User Content"), including assessment responses, profile information, and career exploration activities. By providing User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, process, and display such content solely for the purpose of providing and improving the Services.

7.2 Responsibility for User Content

You are solely responsible for your User Content and represent and warrant that:

  • You own or have the necessary rights to use and authorize us to use your User Content;
  • Your User Content does not violate the privacy rights, publicity rights, intellectual property rights, or other rights of any person or entity;
  • Your User Content does not contain any material that is defamatory, obscene, harassing, threatening, or otherwise objectionable.

7.3 AI-Generated Content

The Services use artificial intelligence to generate personalized career coaching responses. AI-generated content is provided for informational and educational purposes only and should not be relied upon as professional career, legal, financial, or psychological advice. You acknowledge that:

  • AI-generated content may contain errors, inaccuracies, or limitations;
  • AI responses are based on the information you provide and available data, which may be incomplete;
  • You should verify important information and consult with qualified professionals for significant career decisions;
  • We do not guarantee the accuracy, completeness, or suitability of AI-generated content for any particular purpose.

8. Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and disclose your personal information. By using the Services, you consent to the practices described in our Privacy Policy.

9. Subscriptions and Payments

9.1 Subscription Plans

Certain features of the Services may be available only with a paid subscription. Subscription plans and pricing are described on our website and may change from time to time.

9.2 Payment Terms

By subscribing to a paid plan, you agree to pay the applicable fees. Payment is processed through our third-party payment processor. You authorize us to charge your payment method for all fees associated with your subscription.

9.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings or by contacting us.

9.4 Cancellation and Refunds

Cancellation and refund terms depend on your subscription type:

  • Month-to-month plans: You may cancel at any time prior to your next renewal date. Cancellation takes effect at the end of the current billing period. You will retain access to the Services through the end of the period you have already paid for. No refunds will be issued for partial months.
  • Annual plans: You may cancel by providing 30 days' written notice prior to your renewal date, or by canceling through the subscription management interface in your account settings. Cancellation takes effect at the end of the current annual term. You will retain access to the Services through the end of the annual period you have already paid for. No pro-rated refunds will be issued for the remaining portion of an annual term.

If you believe you are entitled to a refund due to a service deficiency or error, please contact us at support@lincpro.app. We may, in our sole discretion, provide refunds or credits in exceptional circumstances.

10. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

THE SERVICES ARE NOT INTENDED TO PROVIDE PROFESSIONAL CAREER COUNSELING, LEGAL, FINANCIAL, OR PSYCHOLOGICAL ADVICE. ALWAYS SEEK THE ADVICE OF QUALIFIED PROFESSIONALS FOR SIGNIFICANT LIFE AND CAREER DECISIONS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CAREERLINC INC, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) the Services;
  • Any conduct or content of any third party on the Services;
  • Any content obtained from the Services;
  • Unauthorized access, use, or alteration of your transmissions or content;
  • Any decisions made or actions taken based on information provided through the Services.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

12. Indemnification

You agree to defend, indemnify, and hold harmless CareerLinc Inc and its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms;
  • Your User Content;
  • Your use of the Services;
  • Your violation of any third-party rights;
  • Any claim that your use of the Services caused damage to a third party.

13. DMCA and Copyright Infringement

We respect the intellectual property rights of others and expect users of the Services to do the same. If you believe that any content on the Services infringes your copyright, please send a notice to our designated copyright agent at support@lincpro.app with the following information:

  • A description of the copyrighted work claimed to have been infringed;
  • A description of where the allegedly infringing material is located on the Services;
  • Your contact information;
  • A statement that you have a good faith belief that the disputed use is not authorized;
  • A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf;
  • Your physical or electronic signature.

14. Termination

14.1 Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature in your settings. Upon termination, your right to use the Services will immediately cease.

14.2 Termination by Us

We may suspend or terminate your account and access to the Services at any time, with or without cause, and with or without notice, including if we reasonably believe that you have violated these Terms. We may also terminate or suspend the Services entirely at any time.

14.3 Effect of Termination

Upon termination, your license to use the Services will immediately cease. The following sections will survive termination: Intellectual Property Rights, User Content and Data, Disclaimers, Limitation of Liability, Indemnification, Governing Law, Arbitration, and any other provisions that by their nature should survive.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms and your use of the Services shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.

15.2 Mandatory Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

You and CareerLinc Inc agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or the relationship between you and CareerLinc Inc (collectively, "Disputes") will be resolved through binding individual arbitration rather than in court, except that either party may bring an individual action in small claims court if the claim qualifies.

Arbitration Rules: Arbitration will be conducted by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, or by another mutually agreed-upon arbitration provider. The arbitration will take place in New York County, New York, or at another mutually agreed-upon location. The arbitration may be conducted by telephone, online (e.g., video conference), or based on written submissions, as determined by the arbitrator.

Arbitration Fees: If you are unable to afford the arbitration filing fee, CareerLinc Inc will pay it for you. Each party will bear its own attorneys' fees and costs, unless the arbitrator determines that applicable law requires otherwise.

Opt-Out: You may opt out of this arbitration provision by sending written notice to support@lincpro.app within 30 days of first accepting these Terms. Your notice must include your name, email address, and a clear statement that you wish to opt out of arbitration. If you opt out, you and CareerLinc Inc agree that any Disputes will be resolved exclusively in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction of such courts.

Severability: If any portion of this arbitration provision is found to be unenforceable, the remaining portions will remain in full force and effect.

15.3 Class Action Waiver

TO THE EXTENT PERMITTED BY LAW, YOU AND CAREERLINC INC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CLASS OR REPRESENTATIVE PROCEEDING.

15.4 Informal Resolution

Before initiating arbitration, you agree to first contact us at support@lincpro.app and attempt to resolve the Dispute informally for at least 30 days. If we are unable to resolve the Dispute informally, either party may then proceed with arbitration as described above.

16. Force Majeure

CareerLinc Inc shall not be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay results from circumstances beyond its reasonable control, including but not limited to:

  • Acts of God, natural disasters, epidemics, or pandemics;
  • War, terrorism, civil unrest, or government actions;
  • Strikes, labor disputes, or shortages of materials;
  • Internet or telecommunications failures, cyberattacks, or power outages;
  • Failures or disruptions of third-party service providers, hosting platforms, or cloud infrastructure;
  • Changes in applicable laws or regulations.

In the event of a force majeure occurrence, CareerLinc Inc will make reasonable efforts to resume performance as soon as practicable and will notify affected Customers of any significant service disruptions.

17. Accessibility

CareerLinc Inc is committed to making the Services accessible to all users, including individuals with disabilities. We strive to conform to the Web Content Accessibility Guidelines (WCAG) 2.1 at the AA level and to comply with Section 508 of the Rehabilitation Act and the Americans with Disabilities Act (ADA) where applicable.

If you experience any difficulty accessing or using the Services due to a disability, or if you have suggestions for improving accessibility, please contact us at support@lincpro.app. We welcome your feedback and will make reasonable efforts to address accessibility concerns.

18. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will provide notice through the Services or by other means (such as email) at least 30 days before the changes take effect. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the modified Terms.

We encourage you to review these Terms periodically. The "Last Updated" date at the top indicates when these Terms were last revised.

19. General Provisions

19.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and CareerLinc Inc regarding the Services and supersede all prior agreements and understandings.

19.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.

19.3 Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by us to be effective.

19.4 Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

We may provide notices to you through the Services, by email to the address associated with your account, or by other reasonable means. You are responsible for keeping your contact information current. Notices to us should be sent to the contact information below.
